Merchant Terms and Conditions

These Terms and Conditions ("Agreement") govern the use of the order and payment platform provided by the Company. By registering as a Merchant, you agree to be bound by these Terms.
1. Definitions
Company refers to Velour Logic ApS, a company incorporated in Denmark under company number 39249820.
Merchant refers to a business using the Platform to offer and sell goods to Guests.
Guest refers to the end user purchasing goods through the Platform.
Platform refers to the software, websites, and services provided under the Yumly brand.
Service means the access and use of the Platform by the Merchant.
Subscription refers to the monthly fee-based access plan selected by the Merchant.
Stripe Connect refers to the third-party payment infrastructure used to process transactions.
2. Eligibility & Account Registration
2.1. Merchants must be legally authorized to operate their business and, where applicable, possess valid licenses to sell alcohol or food.
2.2. Merchants must register for an account and set up Stripe Connect to receive payouts.
2.3. The Company reserves the right to accept or reject Merchant applications at its sole discretion.
3. Subscription & Fees
3.1. Access to the Platform is provided via a subscription model. Subscription terms and pricing are agreed individually with each Merchant.
3.2. Subscription fees are billed in advance and are non-refundable.
3.3. Merchants may cancel at any time. Cancellation takes effect at the end of the billing cycle.
3.4. The Company may modify its fees at any time. Merchants will be informed of changes affecting their plan.
3.5. A service fee is charged to Guests at checkout. This fee is visible to the Guest before payment and is non-refundable.
4. Use of the Service
4.1. The Company grants Merchants a limited, non-transferable license to use the Platform during their active subscription.
4.2. All menu interfaces and order pages are hosted under the Company’s domain.
4.3. Merchants are responsible for ensuring menu accuracy. Updates can be made via the Platform or by submitting the menu in the required format.
4.4. Merchants must supply their own hardware (e.g., QR codes). Hardware may be purchased separately from the Company.
4.5. Merchants must comply with all applicable laws and regulations.
5. Payments & Payouts
5.1. All Guest payments are processed via Stripe Connect, a third-party payment processor. The Company does not directly handle or hold Guest funds.
5.2. Merchants are required to create and maintain an active Stripe Connect account to receive payouts. The Merchant is solely responsible for complying with Stripe’s terms of service and for maintaining accurate account information.
5.3. Stripe’s processing fees are automatically deducted from the Guest’s payment before funds are transferred to the Merchant. These fees are determined by Stripe and may vary by region, transaction type, and currency. In addition to Stripe’s fees, the Company charges a service fee to the Guest, which is retained by the Company.
5.4. Funds due to the Merchant are disbursed by Stripe according to their payout schedule. The Company is not responsible for delays or issues arising from Stripe's services.
5.5. Merchants are solely responsible for handling Guest complaints, chargebacks, and refunds. Refunds can be issued by the Merchant directly through Stripe. Guest service fees charged by the Company are non-refundable, even in the case of full order refunds.
6. Responsibilities of Merchants
6.1. Merchants are fully responsible for fulfilling orders placed via the Platform.
6.2. Menu accuracy and pricing are the sole responsibility of the Merchant.
6.3. Merchants must hold all necessary licenses to operate and sell regulated products.
6.4. Guest complaints and refunds must be handled directly by the Merchant.
6.5. Abuse, fraudulent activity, or non-compliance may result in suspension or termination.
7. Guest Transactions & Disputes
7.1. All transactions are between the Merchant and the Guest. The Company is not a party to the transaction.
7.2. The Guest service fee is added at checkout, retained by the Company, and is non-refundable.
7.3. Merchants are responsible for handling all disputes and refund requests.
7.4. Chargebacks are the responsibility of the Merchant. The Company accepts no liability.
8. Intellectual Property
8.1. The Platform and all related content are the property of the Company.
8.2. Merchants are granted a non-exclusive license to use the Platform while subscribed.
8.3. Custom QR menus or branded materials remain the property of the Company.
8.4. Merchants may not reverse engineer, copy, or misuse the Platform or its content.
9. Data & Privacy
9.1. The Company collects and processes data in connection with the use of the Platform.
9.2. Merchants may access limited Guest data via Stripe Connect.
9.3. The Company may use data for analytics, marketing, and resale in compliance with applicable law.
9.4. Data is retained for statistical, legal, or operational reasons following termination.
9.5. The Company complies with applicable data protection laws, including the GDPR.
10. Liability & Disclaimers
10.1. The Platform is provided “as is” without warranties of any kind.
10.2. The Company is not liable for:
System downtime
Menu inaccuracies
Payment disputes or fraud
Revenue loss
Delay in payouts
10.3. The Company’s total liability is limited to one (1) month’s subscription fee.
10.4. Merchants agree to indemnify the Company against claims, damages, or liabilities arising from their use of the Platform.
11. Termination
11.1. Merchants may cancel at any time, effective at the end of the billing cycle.
11.2. The Company may suspend or terminate accounts without prior notice for violations or non-payment.
11.3. Data may be retained for analysis and legal purposes following termination.
11.4. Terminated Merchants may not rejoin under a different name or identity.
12. Amendments
The Company may update these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
13. Governing Law & Disputes
These Terms are governed by Danish law. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Denmark.
